LAW292  A  SOCIAL ENTERPRISE CLINIC

Course Description
This course will build on the antipoverty, civil rights, community economic development, and community lawyering movements in public interest law to introduce students to the lawyer’s transactional role as counsel to, and collaborator with, social entrepreneurs in starting, advising, financing, and operating nonprofit and for-profit social enterprises in low- and moderate-income communities.

The course will prepare students both to advise social entrepreneurs and to start social enterprises. To that end, it will seek to enlarge students’ understanding of the transactional role of business lawyers in counseling and starting nonprofit and for-profit social enterprises, expand students’ transactional practice skills in representing business and nonprofit clients, and enhance students’ knowledge of how business and transactional lawyering skills may advance the public interest in rebuilding inner-city institutions (e.g., schools and small businesses) and infrastructure systems (e.g., food, health, housing, labor markets, manufacturing and service industries, social services, technology, and transportation). Students will reach out to local social entrepreneurs, social enterprises, and nonprofit/for-profit hybrid entities throughout Miami to study, model, and design start-ups in a wide range of fields.
