Fall 2016
LAW154  A  CORPORATE COMPLIANCE AND RISK MANAGEMENT

Course Description
Compliance and risk management are crucial means for improving business ethics, enhancing the observation of legal norms, and deterring firms from engaging in unsafe or unsound practices. Jobs in these areas are booming. Regulators encourage companies to upgrade their activities in these areas; if companies do not comply, regulators may then find ways to force them to do so. During the first and second decades of the twenty-first century, companies have greatly upgraded the role of compliance and risk management in their decision processes. These developments, moreover, are hardly limited to the United States; similar expansions in compliance and risk management can be observed throughout the world.
What are risk management and compliance? Why has their significance grown so rapidly in recent years? Will they achieve the goals that their proponents have set for them? What is the role of attorneys in the area, and what should it be?
We explore these and other issues raised by the explosion of compliance and risk management.
