Course Description
This skills course will cover a finance transaction from the term sheet stage, through closing and beyond. The deal terms and documents will be based on an actual project financing of a renewable energy project in Latin America; however, the skills taught would be applicable to any debt finance transaction or other corporate deal that requires drafting, reviewing and negotiating of transactional documents. The course will teach students how to construct a legal transaction based on a commercial agreement, spot issues in the deal documents, negotiate with opposing counsel and prepare for closing. The class will familiarize the students with the principal documents and commonly-negotiated issues associated with finance transactions involving a Credit Agreement. We will review a variety of contracts and agreements but the Credit Agreement will be the principal transaction document and would likely receive the most attention. We plan to work with experienced finance attorneys from Miami law firms to enhance the practical skills experience.
