LAW673  AW  BUSINESS PLANNING SEMINAR

Course Description
Tax, corporate, financial, securities and accounting issues planning in the unincorporated or incorporated business enterprise. The emphasis is on planning the context of the legal, tax and business considerations that apply to the transactions considered. Specific problems considered include: choice of entity; organizing and financing the enterprise; withdrawal of owners; business division; acquiring, merging or other take-over of the enterprise for incorporated and unincorporated entities and comparison of the effect of the legal and tax form on planning. Students (individually or in groups) prepare written solutions to specific factual problems that form the basis of class discussion. The students revise their solutions in light of the class discussion and written comments by the professor as their final papers.
