LAW163  AS  NEGOTIATING AND DRAFTING FOR THE BUSINESS OF ENTERTAINMENT II

Course Description
In Negotiating and Drafting for the Business of Entertainment I, we study in depth the fundamental skills required of corporate lawyers representing purchasers and sellers of an on-going business. We focus on advising clients, and reading, drafting and negotiating contracts. In this course, we will apply the same approach to the process by which venture capitalists and private equity funds invest, with emphasis on the entertainment industry generally. We will analyze such documents as a Private Placement Memorandum, Term Sheet, Certificate of Incorporation, Stock Purchase Agreement, Voting Agreement, Right of First Refusal and Co-Sale Agreement, Investor Rights Agreement and Limited Liability Company Agreement. We will focus on the entertainment industry, but the skills being developed will apply to business transactions generally.

Short Course Attendance Policy Due to the small number of meetings, attendance to all meetings/classes for short courses is mandatory. Students who miss more than one class session (80 minute) of a 1-credit short course are subject to administrative withdrawal and will have a W for the course on their transcripts.
