Course Description
Basic introduction to the Uniform Commercial Code (UCC), primarily focused on secured transactions (Article 9). Subjects may also include selected topics in: sales (some Article 2 concepts not usually covered in contracts); negotiable instruments (notes & drafts, including checks, Article 3); letters of credit (as security or payment, Article 5); and documents of title (warehouse receipts & bills of lading, Article 7). Special class requirements: Daily (hourly) attendance and class preparation are required.

  • Assignment: Assignment for SECOND class: please read Preface and solve problems 1-5. (The PowerPoint slides in handout 2 [ho2] may help.) You need only be prepared on the problems. You should read the cases, but I will not require you to discuss them.

    Material:
    Required: WHALEY, PROBLEMS...COMMERCIAL LAW (latest ed.) (“text” or simply “T”) and access to the Uniform Commercial Code including official comments. (I will use WEST, SELECTED COMMERCIAL STATUTES (latest ed.) (statutory supplement or simply “S”) in class and it will control the final examination.) You will need two course handouts available in the copy center: ... COURSE HANDOUT (WITH ATTACHMENTS including course syllabus) (“ho1”); and …POWERPOINT CLASS SLIDES (“ho2”).

    Additional Information:
    Important Notes: Class preparation, participation and daily (hourly) attendance are required. There are no “passes”; be prepared. (I am more lenient than usual in calling on students in our first meeting.) The ho2 PowerPoint slide-sets corresponding to each assigned chapter are good guides to our probable class discussion. I may lower your final grade or drop you from the course if you have more than eight hourly absences. I orient the (semi-) Socratic discussion with PowerPoint slides. If you don’t like slides, please respect your preferences (I do), and take another course. Examination by multistate-type questions (see ho1).
