Course Description
This interactive, practice-oriented course introduces students to transactional drafting. In this course, students will look at contracts from the perspective of a deal lawyer by performing mock client interviews, negotiating with their peers, drafting documents from scratch or with forms, and "redlining" drafts from opposing counsel. Students will work in firms on some assignments and individually on other assignments. Students will receive feedback on both ungraded and graded assignments. Drafting and negotiation projects may involve a retainer letter, a nondisclosure agreement, parts of an asset purchase agreement, an employment contract, an intellectual property license, and/or a settlement agreement.

Prerequisite: (1) Contracts and (2) Transactional Lawyering: Negotiating and Drafting Contracts or Business Associations (co-requisite or prerequisite) unless otherwise allowed by professor
Grading: Mandatory Honors/Pass/Fail
Method of Evaluation: Grades will be based on class participation, group and individual assignments, and a take-home exam, which will consist of writing an agreement. Students will watch videos each week from Professor Weldon and will work in small groups with experienced practitioners in class to work on drafting, negotiations, and simulations. This course is a prerequisite for Law 546 (Introduction to Business Practices and Drafting of Transaction Documents), Law 560 (Transactional Lawyering: Deal Skills), and Law 741 (Introduction to the Deal).
