LAW907  A  INTELLECTUAL PROPERTY TRANSACTIONS & NEGOTIATIONS

Course Description
This course will analyze agreements with material intellectual property rights components, including patent, trademark, copyright, and trade secret license agreements; distribution agreements; and supply agreements. The course will introduce students to different types of intellectual property provisions—including warranties, indemnifications, and license grantbacks—and different methods of drafting, analyzing, and negotiating agreements. Students will develop an understanding of how these provisions can provide companies with the freedom-of-action that they need to successfully operate their businesses. Some lectures will focus on the consequences of poor agreement drafting and the potential consequences that may arise for a client. As part of this course, students will be required to draft contract provisions, analyze inadequate provisions, and make corrective suggestions. Students will be assigned readings and will be expected to have read all assigned readings prior to class lecture. The exercises and assigned readings will help students gain hands-on experience with various provisions. Students will be assigned the task of drafting a contract and conducting mock negotiations with each other. We will not be looking for winners of these mock negotiations; rather, the goal is to develop good, and to avoid not so good, habits. Students will be expected to function as junior associates of a firm or as junior corporate attorneys. Each student’s overall conduct and advocacy for his or her client/company will be measured. This course will also discuss current events in the Intellectual Property world. Students will be asked to participate in stimulating conversations about IP issues and potential solutions. Short Course Attendance Policy Due to the small number of meetings, attendance to all meetings/classes for short courses is mandatory. Students who miss more than one class session (80 minute) of a 1-credit short course are subject to administrative withdrawal and will have a W for the course on their transcripts.

Method of Evaluation: Students will be graded on how they behave as a lawyer in advocating for their client. Grades will be based on class participation and professionalism (30%); drafting assignments (40%); and mock negotiation(s) (30%). Each student’s individual work will be reviewed for factual accuracy, technical writing, application of lecture, attention to detail, and protection of their client.
