LAW824  A  FRAUD RISK FOR START-UPS AND INVESTORS

Course Description
As Miami takes its place as an investment hub in the developing innovation and technology ecosystem, it is important that the attorneys who will advise start-ups, entrepreneurs, investors, and financial institutions know how to recognize and respond to investment fraud. This course examines some of the most notable investment fraud schemes in recent history, many of which have ties to Florida. We will compare and contrast investment fraud cases and the civil and criminal outcomes in each. We will also consider legal, ethical, and business issues that may arise in the context of an investment transaction, investigation, or litigation.
Students will review case studies, litigation, news accounts, and primary source materials to understand the history and impact of investment fraud. Guest lecturers will be invited to provide firsthand accounts of related investigations, civil actions, and criminal prosecutions. Students should be prepared to argue key issues from the perspective of a business owner, investor, government regulator, and community stakeholder.
